1.1. This quotation is valid for 30 days from the date of issue.
2.1. The price quoted is exclusive of VAT where appropriate.
2.2. All equipment is supplied EX-works, Brentford, London, England.
2.3. Unless otherwise agreed rental will commence from the day of shipping to the date of return. Rental will be charged at 50% of the day rate for the recognised courier transit times.
2.4. Standby Rental Rate is 25% of the Daily Rental Charge.
2.5. Where appropriate, local duties and sales tax may apply.
2.6. Unless otherwise agreed with GUL, equipment must be returned to GUL using a recognised door to door express courier service. Failure to do
this may result in additional transportation rental charges and back charge of other costs incurred by GUL such as customs clearance and local UK
2.7. The price is exclusive of bank fees and it is the responsibility of the purchaser to cover any bank charge when processing payment on invoices.
3. Use of Rental Equipment
3.1. The Hirer will use the equipment (listed above) in a good and careful manner and will comply with all of GUL’s requirements and
recommendations respecting the equipment and with any applicable law, whether local or international respecting the use of the equipment,
including, but not limited to, environmental and copyright law.
3.2. The Hirer will use the equipment for the purpose for which it was designed and not for any other purpose.
3.3. Unless the Hirer obtains the prior written consent from GUL, the Hirer will not alter, modify or attach anything to the equipment unless the
alteration, modification or attachment is easily removable without damaging the functional capabilities or economic value of the equipment.
4. Repair and Maintenance of Equipment
4.1. The Hirer will, at the Hirer’s own expense, keep the equipment in good repair, appearance and condition, normal and reasonable wear and tear
4.2. If the equipment is not in good repair, appearance and condition when it is returned to GUL, GUL may make such repairs or may cause such
repairs to be made as are necessary to put the equipment in a state of good repair, appearance and condition, normal and reasonable wear and tear
GUL will make the said repairs within a reasonable time of taking possession of the equipment and will give the Hirer written notice of
and invoices for the said repairs.
Upon receipt of such invoices, the Hirer will immediately reimburse GUL the actual expense of those repairs.
4.3. The Hirer is responsible for any unrepairable damage/loss at replacement costs.
5. Warranty and Limitation of Liability
5.1. The equipment will be in good working order and good condition upon delivery.
5.2. All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from this
5.3. Nothing in this agreement limits or excludes the liability of GUL for death or personal injury resulting from negligence or for any damage or
liability incurred by as a result of fraud or fraudulent misrepresentation by GUL.
5.4. Subject to clause 5.2 and clause 5.3 GUL shall not be liable for loss of profits; loss of business; depletion of goodwill and/or similar losses; loss
of anticipated savings; loss of goods; loss of contract; loss of use; loss or corruption of data or information; or any special, indirect, consequential or
pure economic loss, costs, damages, charges or expenses; and the GUL’s total liability in contract, tort (including negligence or breach of statutory
duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of this agreement shall
be limited to the price paid for the goods.
5.5. GUL can not be held responsible for any losses due to shipment delay or non-supply of rental equipment.
5.6. Where applicable, the trials and the evaluations undertaken by you have sufficiently demonstrated, to your satisfaction, the fitness for the
purpose of the goods supplied by GUL.
6.1. All documentation and software are provided in the English language.
7.1. The information in this document is strictly confidential and may be legally privileged. It is intended for the addressee only. Disclosure,
copying, distribution or action taken or omitted to be taken in reliance on it, is prohibited and may be unlawful.
8. Governing Law and Jurisdiction
8.1. This purchase and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by, and construed in
accordance with, the law of England and Wales.
